1. Introduction

Welcome to Secure Shield Password Manager! These Terms of Service ("Terms") govern your access to and use of the Secure Shield mobile application ("App") and related services provided by ABP COMPANY SRL SEMPLIFICATA ("Company," "we," "us," or "our"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the App.

Secure Shield is designed to help you protect your digital life by offering features such as an Email Breach Check, Password Reliability Check, and a robust Password Generator. Our goal is to enhance your online security and promote good web hygiene.

2. Acceptance of Terms

By creating an account, accessing, or using the Secure Shield App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional terms and conditions or policies referenced herein or made available through the App. These Terms constitute a legally binding agreement between you and ABP COMPANY SRL SEMPLIFICATA. If you are using the App on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Eligibility and User Accounts

3.1 Eligibility

You must be at least 13 years old to use the Secure Shield App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Creation

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the App if any information provided proves to be inaccurate, not current, or incomplete.

4. License to Use the App

Subject to your compliance with these Terms, ABP COMPANY SRL SEMPLIFICATA grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Secure Shield App on a mobile device that you own or control, solely for your personal, non-commercial use. This license does not permit you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

All intellectual property rights in the Secure Shield App, including all copyrights, patents, trademarks, trade secrets, and other proprietary rights, are owned by ABP COMPANY SRL SEMPLIFICATA or its licensors. You acknowledge that your use of the App does not grant you any ownership rights in the App or any of its content. You may not use any of our trademarks, logos, or other proprietary graphics without our prior written consent.

THE SECURE SHIELD APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ABP COMPANY SRL SEMPLIFICATA DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE.

While Secure Shield aims to provide robust security tools, we cannot guarantee absolute security. You are solely responsible for maintaining the security of your devices and accounts. The Email Breach Check relies on publicly available breach data and may not identify all compromises. The Password Reliability Check provides guidance but does not guarantee a password's invulnerability.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABP COMPANY SRL SEMPLIFICATA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP, REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE APP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless ABP COMPANY SRL SEMPLIFICATA, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the App.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the jurisdiction where ABP COMPANY SRL SEMPLIFICATA is registered, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction to resolve any dispute or claim arising from these Terms or your use of the App.

12. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our App, and supersede and replace any prior agreements we might have had between us regarding the App.
